General terms and conditions

For businesses using the Maintenir software and purchasing hardware and labels. Last updated: October 2026

This translation is provided for convenience only. Only the German version of these terms and conditions is legally binding.
Provider: Zukunftswerkstatt Hanswillemenke und Matlachowsky GbR, Westring 3, 33415 Verl, Germany, phone +49 5246 - 90 49 117, info@maintenir.net (hereinafter “Provider” or “Maintenir”).

Scope

  1. These general terms and conditions apply to all contracts between the Provider and its customers for the use of the Maintenir software (web platform and mobile apps) as software as a service and for the purchase of hardware, M2M connectivity and labels.
  2. The offer is aimed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. No contracts are concluded with consumers.
  3. Deviating, conflicting or supplementary terms and conditions of the customer do not become part of the contract, even if the Provider does not expressly object to them.
  4. In the event of conflicts, the following order applies: the individual offer or individual contract including the service description, the data processing agreement, these terms and conditions.

Conclusion of contract

  1. Content on the website does not constitute a binding offer. The Provider’s offer in text form is binding.
  2. The contract is concluded when the customer accepts the offer in text form or the Provider confirms an order in text form. The contract is deemed concluded at the latest when access is activated.
  3. Trial access, pilot projects and other special arrangements are only part of the contract if they are agreed separately.

Software services

  1. The Provider makes the Maintenir software available to the customer for use via the internet for the term of the contract. Scope, modules, number of users and additional services are set out in the offer.
  2. Every customer receives their own dedicated virtual server. Operation takes place in data centres in Germany or the European Union.
  3. The Provider continuously develops the software and may adapt it to the state of the art, legal requirements and security needs, provided the agreed functionality is not significantly restricted.
  4. The Provider is not obliged to provide the software for installation at the customer’s premises or to provide the source code.
  5. Setup, data migration, training, interfaces and individual customisations are only owed if agreed in the offer.

Availability and maintenance

  1. A specific availability of the software is only owed if expressly agreed in the offer. Without such an agreement, the Provider makes the software available with the care customary in the industry but does not commit to any specific availability.
  2. The Provider may temporarily restrict the software for maintenance work, updates and security measures. Planned maintenance is announced in good time where possible and carried out outside normal business hours.
  3. The Provider is not responsible for disruptions outside its sphere of influence, in particular of the internet, mobile networks or the customer’s devices, or for force majeure.

Rights of use

  1. For the term of the contract, the customer receives the simple, non-transferable and non-sublicensable right to use the software to the agreed extent for its own business purposes.
  2. The customer may involve its own employees, service providers it has commissioned and its own customers as users, insofar as this is within the agreed scope. The customer is responsible for their actions as for its own.
  3. Renting out or otherwise providing the software to third parties for a fee is only permitted with a separate agreement, for example as part of the partner or service programme.
  4. The customer may not decompile or modify the software or circumvent its security mechanisms unless this is mandatorily permitted by law.

Customer obligations

  1. The customer keeps access credentials secret, protects them from unauthorised access and informs the Provider immediately if misuse is suspected.
  2. The customer ensures the technical requirements on its side, in particular suitable devices, browsers and an internet connection.
  3. The customer does not store unlawful content and does not use the software in a way that impairs its security or availability.
  4. Maintenir supports the planning, organisation and documentation of maintenance and inspections. Responsibility for complying with statutory and regulatory inspection and operator obligations, for setting inspection intervals and for carrying out inspections properly remains with the customer.
  5. The customer reports disruptions and defects immediately and as precisely as possible.

Customer data and data protection

  1. All data entered in Maintenir by the customer and its users remains the property of the customer. The customer decides who gets access and with whom the data is shared.
  2. The Provider processes customer data exclusively to perform the contract. Data is only passed on to third parties where this is necessary to perform the contract, the customer consents or there is a legal obligation.
  3. Where the Provider processes personal data on behalf of the customer, the parties conclude a data processing agreement in accordance with Art. 28 GDPR.
  4. The Provider regularly backs up the data at geographically separate locations and protects it with appropriate technical and organisational measures.

Hardware, M2M connectivity and labels

  1. The following provisions additionally apply to the purchase of IoT gateways, sensors, other hardware and labels. Delivery dates are only binding if expressly agreed as binding.
  2. For shipments, the risk passes to the customer upon handover to the carrier. Partial deliveries are permitted insofar as they are reasonable for the customer.
  3. The goods remain the property of the Provider until paid in full.
  4. The customer inspects the goods immediately after delivery and notifies the Provider of recognisable defects without delay in text form (Section 377 of the German Commercial Code, HGB).
  5. Labels with a logo or individual design are produced after approval by the customer. The customer is responsible for content and design it has approved. Individually produced labels cannot be exchanged.
  6. M2M SIM cards and connectivity are provided as part of the subscription where agreed. The SIM cards may only be used in the devices intended for them and for the agreed purpose.

Fees and payment

  1. The prices in the offer apply plus statutory VAT.
  2. Recurring fees for the software are invoiced monthly in advance. One-off services such as setup and training are invoiced after they have been provided, hardware and labels after delivery.
  3. Invoices are payable without deduction within 14 days of the invoice date unless otherwise agreed in the offer. In addition to bank transfer on invoice, the Provider offers other payment methods, for example SEPA direct debit, credit card or PayPal.
  4. If the customer defaults on payment, the statutory provisions apply. If the customer is more than 30 days in arrears with a not insignificant amount, the Provider may block access after prior notice in text form until the outstanding amounts have been paid.
  5. The Provider may adjust the recurring fees no earlier than 12 months after the start of the contract and thereafter no more than once every 12 months, for example to reflect increased costs for infrastructure, licences and staff. The adjustment is announced in text form at least two months before it takes effect. If the increase exceeds 5%, the customer may terminate the contract as of the date it takes effect.

Term and termination

  1. The term is set out in the offer. If nothing is agreed there, it is 12 months from activation and is extended by a further 12 months each time unless the contract is terminated with three months’ notice to the end of the respective term.
  2. The right to extraordinary termination for good cause remains unaffected. Good cause for the Provider exists in particular if the customer is more than two months in arrears with payment or uses the software in breach of contract despite a warning.
  3. Notices of termination must be given in text form.

Data export and deletion

  1. During the term and for up to 30 days after the end of the contract, the customer can export its data in a common, machine-readable format or have it provided by the Provider.
  2. After this period, the Provider deletes the customer’s virtual server and all customer data, unless statutory retention obligations prevent this. Backups are overwritten as part of the regular backup cycles.

Warranty

  1. The Provider remedies defects in the software within a reasonable period. It may also do so by means of updates or reasonable workarounds.
  2. Strict liability for defects that already existed when the contract was concluded (Section 536a (1) alt. 1 BGB) is excluded.
  3. For hardware and labels, the limitation period for warranty claims is 12 months from delivery. The Provider provides subsequent performance, at its discretion, by repair or replacement.
  4. There are no claims for defects caused by improper use, installation or environment, by interventions of the customer or by natural wear and tear.

Liability

  1. The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.
  2. In the case of slight negligence, the Provider is only liable for breach of an essential contractual obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. In this case, liability is limited to the typical, foreseeable damage, but no more than the fees for the last twelve months before the event causing the damage.
  3. For loss of data, the Provider is only liable for the effort required to restore it from the existing backups.
  4. The Provider is not liable for damage resulting from the customer failing to meet statutory inspection and operator obligations, ignoring notices and due dates in the software or entering incorrect data.
  5. The above limitations also apply to the personal liability of the Provider’s employees, representatives and vicarious agents.

Confidentiality and references

  1. The parties treat all confidential information of the other party, in particular trade and business secrets, as confidential, including after the end of the contract.
  2. The Provider may only name the customer as a reference by name or logo with prior consent in text form.

Changes to these terms

  1. The Provider may amend these terms and conditions with effect for the future if this is necessary for an objective reason, for example due to changes in the law, case law or new services. Essential contractual obligations are not changed to the customer’s disadvantage.
  2. Changes are communicated to the customer in text form at least six weeks before they take effect. If the customer does not object within this period, the changes are deemed accepted. The Provider will point out this consequence separately in the notification. If the customer objects, the previous terms and conditions continue to apply; both parties may then terminate the contract as of the date the changes would take effect.

Final provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. The exclusive place of jurisdiction for all disputes arising from the contractual relationship is the Provider’s registered office, provided the customer is a merchant, a legal entity under public law or a special fund under public law.
  3. Amendments and additions to the contract must be made in text form.
  4. Should individual provisions of these terms and conditions be invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
